Daniel practices in the areas of Corporate law, M&A, Corporate Structuring/Restructuring and Energy and Natural Resources.

Daniel is an Associate Solicitor with a wide range of experience in corporate and commercial matters, as well as matters within the energy sector. 

Daniel’s transactional experience includes mergers and acquisitions, corporate structuring/restructurings as well as advising on general corporate and commercial matters.  Daniel has also gained experience working on corporate and commercial matters with leading and innovative energy companies and businesses. 

Experience

  • Advised domestic and international clients in respect of company law issues such as registration of beneficial ownership; continuing filing obligations in respect of branches within the state; annual returns; appointment and removal of company officers, company incorporations; and duties of companies' officers.
  • Advised domestic and international clients regarding commercial contract review with existing and prospective business parties.  Review, alteration and negotiation of commercial contracts such as outsourcing agreements, agency agreements, franchising agreements, B2B contracts and service level agreements.
  • Acted for an IT service provider in respect of the acquisition of its business to an Irish telecommunications company.
  • Drafting and negotiation of transaction documents (such as share and asset purchase agreements, joint venture agreements, and corporate resolutions.
  • Advised renewable energy company and assisted with its group re-structure and reorganisation, sub-division, reclassification and allotment of the new share classes of the holding company.  Further to the group re-structure, acted for the renewable energy company in respect of a joint venture of its parent company with a UK energy company.
  • Advised renewable energy company and assisted with its group re-structure and reorganisation, sub-division, reclassification and allotment of the new share classes of the holding company.  Further to the group re-structure, acted for the renewable energy company in respect of a joint venture of its parent company with a UK energy company.
  • Acted for renewable energy company in a joint venture with a renewable energy investment company and assisted with all aspects of pre-completion and post-completion such due diligence processes, drafting ancillary corporate documents, coordination of completion.
  • Acted for state owned company in respect of proposed renewable energy projects throughout Ireland.  Drafted and negotiated bespoke Option Agreements, Lease Agreements, Licenses and Grants of Right of Way Agreements.
