Philip's practice is primarily in the areas of M&A, Corporate, Energy and Finance law. He acts for a wide range of businesses with a particular number involved in the area of energy and natural resources.

In corporate matters, Philip has acted for both buyers and sellers in Mergers and Acquisitions transactions across all sectors as well as advising on private equity funding rounds, shareholders agreements and corporate restructurings.

In commercial matters, he advises clients regularly on complex contractual issues including advising on procurement law.

In finance matters, Philip has assisted many clients in raising project finance for large scale projects and also negotiated facility arrangements for a number of household names.

Given his significant experience and focus on the energy sector, Philip is the lead partner in the firm’s successful Energy and Natural Resources Unit. He advises a number of household names in the energy sector on all their legal, contractual and regulatory needs.

Experience

  • Acted for Templederry windfarm one of the first community based windfarms in Ireland.

  • Advises Ameresco on its wind farm and energy park/solar projects in Ireland.

  • Advised Omnes Capital on the acquisition of a number of solar projects in Ireland.

  • Acted for CLG Developments Limited in the establishment of a joint venture with the Balfour Beatty group which entered into a €400 million plus long term contract for the provision of supply and maintenance services to the Bord Gáis network.
  • Acted for the owners of Sorne Wind Limited on the development of a 38.9 MW wind farm and the onward sale once completed to Bord Gáis Eireann.
  • Acted for Star Energy plc and Petronas in relation to the acquisition of Marathon Oil Ireland Limited and Marathon Seven Heads Limited and the related option arrangements entered into with Providence Resources.
  • Philip continues to act for energy and facilities management company, Veolia, providing advice on the area of district heating schemes and on acquisitions in the energy area.
  • Advised GT Energy Limited on legislative issues relevant to geothermal energy in Ireland.
  • Advised Vayu, one of the larger purchasers of energy in the State for onward distribution, on the drafting and negotiation of their power purchase agreements.
  • Acted for the Dussmann Group GmbH  in the acquisition of STS.

  • Acted for ISS A/S in a number of acquisitions of bolt on facilities management businesses.

  • Advised the Reihill family on their signing of an agreement to sell Top Oil to Irving Oil, a Canadian company.

  • Acted for Tedcastles Oil Products in the acquisition of Fate Park Limited, a leading oil distributor out of examinership.

  • Acted for Mednova on the sale of its medical device business to Abbott Laboratories.
  • Acted for MagGrow an agritech company in a number of investment funding rounds.

  • Acts for companies such as TOP, H&K, Fonúa, Unit 4, ISS and others on their day to day commercial contracts needs.

  • Acted for the H&K group of companies on a series of management buy outs.
  • Acted for Island Renewable Energy and Geothermal Energy Limited on investment funding rounds.
