Trevor advises fund promoters on structuring, establishing and listing investment funds in Ireland.

Prior to joining LK Shields, Trevor was a partner in one of Ireland's other leading law firms.

Trevor began his career in Chicago, where he worked for a number of investment banks, returning to Ireland in 1998 to help establish Société Générale in Ireland as deputy general manager. Before qualifying as a solicitor, he worked in the funds authorisation department of the Central Bank.

Trevor’s practice has focused on advising fund promoters on structuring, establishing, listing and maintaining UCITS and alternative investment funds in Ireland with a particular focus on structured UCITS, hedge funds, real estate and private equity funds.

  • Advised a large number of Irish and overseas financial services providers, including advising on compliance with MiFID (Markets in Financial Services Directive), AIFMD (Alternative Investment Fund Managers Directive) UCITS (Undertakings for Collective Investment in Transferable Securities).
  • Clients primarily include banks, wealth managers and real estate managers.
  • Advises on the legal and regulatory aspects of all financial services activities and products which are regulated by the Central Bank of Ireland.
  • Represented fund promoters and investment managers on the setting up and structuring of both regulated and unregulated fund structures.
  • Extensive experience with real estate fund structures having established a number of Qualifying Investor Alternative Investment Funds (QIAIFs) to hold portfolios of EU and UK properties. Has advised a number of investors in Irish REIT structures.
  • Advised promoters on merger of fund assets into and out of Ireland.
  • Advised promoters on Super QIAIF structures (QIAIF into SPV) and on reverse Super QIAIF structures (SPV into QIAIF).
  • Have advised promoters of closed ended funds in relation to a variety of regulatory compliance and governance matters.
  • Advised promoters on establishment of closed ended funds of side pocketed and distressed assets.
  • Analysed options available to a fund promoter who had taken over a distressed real estate fund, which had been directed to suspend its business by the Central Bank. Sought Court supervised liquidation of the fund and applied to the High Court for the appointment (for an extended duration) of a provisional liquidator in order to avert the threat of foreclosure by lenders and thereby preserve value in the fund for investors.
  • Established an umbrella trust QIAIF with very high exposures to single government bond issuances and a structured element involving derogations from Central Bank counterparty exposure limits.
  • Advised Investors on takeover of promotership and investment management and subsequent restructuring of the fund.
  • Expertise extends to all asset classes, including loans, insurance policies, real estate.
  • Member of Irish Funds (IF) and participant in a number of IF Working Groups on topics including Private Equity, Legal and Regulatory and Capital Markets Union.
  • Contributor to publications including Butterworths Journal of Banking and Financial Law and Finance Dublin.
  • Advised on the authorisation of a new closed ended single portfolio ICAV umbrella issuing shares by way of commitment/drawdown, with a waterfall carried interest structure that invests in development land for the purpose developing residential housing in the greater Dublin area.
  • Advising on the re-registration of Irish public limited companies as Irish corporate investment funds.
  • Advising on first re-domiciliations of two Jersey funds to Ireland and authorisation as UCITS ICAVs.
