Damien advises on financial services law and specialises in investment funds and investment intermediary’s regulation.

Damien is a Partner in the Financial Services Group. Damien advises fund promoters on structuring, establishing and listing investment funds in Ireland.

He also advises investment companies, fund administrators, custodians and investment managers in relation to their obligations under all aspects of financial services regulation.

Experience

  • Advises a large number of Irish financial services clients on all aspects of compliance and regulation including the Markets in Financial Instruments Directive (“MiFID”), the Central Bank's Consumer Protection Code, Minimum Competency Code and Client Asset Requirements, the Market Abuse Regulations and the Alternative Investment Fund Managers Directive (“AIFMD”).
  • Advises financial institutions on all aspects of compliance with Irish Anti Money Laundering requirements.
  • Advises in relation to Acquiring Transaction Notifications affecting Central Bank regulated firms.
  • Clients include investment managers, banks, custodian banks, administrators and both externally and internally managed UCITS and Alternative Investment Funds.
  • Advises international fund promoters on the legal and regulatory issues associated with the establishment of both UCITS and AIFMD compliant funds.
  • Advises UCITS Management Companies and Alternative Investment Fund Managers in relation to the drafting of Central Bank compliant Business Plans and Programme of Activity documents.
  • Advises in relation to the structure and content of Key Investor Information Documents for UCITS.
  • Advises in relation to ongoing legal and regulatory responsibilities of UCITS and AIFMD collective investment schemes including advice in relation to specific reporting requirements
  • Advises in relation to the Central Bank’s fitness and probity rules.
  • Advises in relation to the Corporate Governance Code for Collective Investment Schemes and Management Companies.
