Andrew is a Partner in our Finance Department specialising in the practice of corporate finance law.

Andrew advises domestic and international financial institutions, investment funds, private and commercial borrowers on a wide range of finance matters with a particular focus on acquisition finance, corporate banking, project finance, refinancing and debt restructuring.

He also regularly acts as local Irish counsel on international syndicated loan facilities and private equity investments, with significant expertise in the provision of cross-border legal opinions.

In corporate matters, Andrew regularly advises corporate entities, shareholders and investors on private equity and venture capital investments, restructurings, shareholder matters and general corporate transactions.

Experience

  • Acted for numerous corporate clients, ranging from Individual domestic companies to large international groups, in respect of their bank facilities. Work completed included advising the borrowers on the proposed structure of the facilities and the negotiation and finalisation of all of the underlying documentation including the facility agreement(s), subordination agreements (where applicable) and any security to be put in place (including charges over real property, all assets debentures, guarantees (both individual and cross group), share charges, assignments of rental income etc).
  • Work completed also involved assisting the borrowers in the satisfaction of conditions precedent to loan facilities, preparing/reviewing the relevant corporate certificates, amendments to constitutional documents, board minutes, and advising the borrowers of the regulatory implications of any proposed arrangement and tending to any necessary steps required by regulation or statute.
  • Acted as Irish counsel for a number of large international banks in respect of group facilities (both syndicated and individually banked) involving one or more Irish incorporated entities. Work completed included: the provision of complex Irish law legal opinions; reviewing and advising on the provisions of the underlying facilities agreements and other finance documents; drafting, negotiating and advising on Irish law security documents (such as cross-guarantees, real property charges, share charges, all assets debentures); pending to the perfection in Ireland of Irish law security; and, the provision of advice on issues of Irish law throughout each transaction.
  • Acted for a number of financial institutions in the provision of advice on restructure/workout arrangements and the preparation, negotiation and finalisation of all of the underlying documentation including amended and restated facility agreements, deeds of confirmation, inter-creditor agreements, subordination arrangements and any new security to be put in place (including charges over real property, all assets debentures, guarantees, share charges and assignments of rental income).
  • Acted for a number of financial institutions in the preparation and satisfaction of various conditions precedent to loan facilities as well as the provision of and review of legal opinions and the relevant directors’ certificates, corporate certificates, amendments to constitutional documents and board/shareholder resolutions.
  • Acted for a number of individual and corporate borrowers in respect of the restructuring or refinancing of existing loans. Work completed included advising the borrower on the proposed structure and implications of the arrangement and the review and negotiation of all of the underlying documentation.
  • Acted for a number of financial institutions and borrowers in the provision of ongoing regulatory advice on consumer protection legislation, personal insolvency legislation and the NAMA Act.
  • Acted for a number of financial institutions and borrowers in the provision of ongoing banking law advice following court decisions in cases such as Re J.D. Brian Motors Limited & others in liquidation (the Belgard Motors case), Start Mortgages v Gunn and EBS Limited v Gillespie.
