LK Shields Solicitors act in sale of Upstart Games.


LK Shields Solicitors acted for the vendors in the sale of the entire issued share capital of Upstart Games Limited (Upstart Games) to Sun 3C Media Plc (Sun 3C), an AIM listed company. The total consideration will be Stg£7.85 million, of which an initial cash consideration of £500,000 and £6 million's worth of shares in Sun 3C was paid on completion. The remaining consideration of £1.35 million will be paid in cash in four equal instalments within a year of completion.

Founded in 2003, Upstart Games is a leading publisher of mobile games specialising in supplying premium branded mobile games to leading networks globally. Headquartered in Dublin with offices in Tokyo, New York and Cork, Upstart Games works with leading brands in the music, games and film sectors to create and publish mobile games derived from global media properties. Its acquisition by Sun 3C will allow Upstart Games' existing international development and distribution business to be expanded to incorporate Sun 3C's media assets.

Emmet Scully, a partner in the Business Department, led the team with assistance from colleagues in the Intellectual Property and Technology and Employment, Pensions and Employee Benefits Units.

Prior to its sale, LK Shields Solicitors had acted for Upstart Games from its inception, facilitating a number of successful investment rounds with both private and public investors, and now wishes the company all the best for the future.
