Endeavours in Commercial Contracts.
Case law establishes that when agreeing commercial contracts, parties
need to take care to ensure that they understand the obligations
that they may be establishing by agreeing to reasonable, all reasonable
or best endeavours. The consequences of not doing so may result
in the resulting rights and obligations being somewhat different
from those contemplated or intended by one or more of the parties.

Nominee Directors: A Conflict of Interest?
A nominee director is a director who has been appointed to the board
to represent some special interest, such as the interests of a financial
institution or a particular group of shareholders. Not surprisingly,
as all directors owe their primary duty to the company to which
they have been appointed, this can lead to divided loyalties.

Accounts Warranties and Unknown Liabilities.
An issue that frequently exercises the minds of buyers and sellers
of companies and businesses is the possibility of a previously unknown
pre-completion liability that comes to light after completion of
the transaction, particularly where provision for the liability,
if known, would have been made in the audited or management accounts
of the target. This issue was the subject of a recent English Court
of Appeal decision (Macquarie Internationale
Investments Limited v Glencore UK Limited [2010] EWCA Civ 697).
